WHO IS WALL & COMPANY?
Wall & Company is a financial planning and investment advisory firm registered with the Securities and Exchange Commission as a Registered Investment Advisor. Our SEC number is 801-51959. We also maintain a current investment advisory registration with the State of North Carolina Department of Corporations.

WHAT IS A REGISTERED INVESTMENT ADVISER?
A registered investment advisor is a fiduciary who has a duty of undivided loyalty to his investment advisory clients and must deal fairly and honestly with them. Any person or entity that holds itself out as a financial planner must be registered with the SEC as an Investment Advisor. A Registered Investment Advisor (RIA) is a representative of the client. There are no education or experience requirements for a person to become registered with the Commission as an investment Advisor.

Wall & Company offers investment management programs with minimums as low as $100,000. We recognize that persons with modest assets have financial problems or needs as well.

WHAT IS A FINANCIAL PLAN?
A financial plan is an overall review of your financial situation that takes into account your goals and objectives and focuses on such areas as income tax planning, asset management, risk management, estate, educational and retirement planning. The plan analyzes and recommends ways that you can achieve your financial objectives. Depending on your specific needs, some or all of these areas will be addressed by the plan, which may be presented orally or in writing.

HOW MUCH DO WE CHARGE FOR OUR SERVICES?
Our client appointments and reviews are generally free of charge, unless otherwise agreed upon. Fees for financial plans are charged on a hourly rate of $120 per hour. Professional investment management fees range from 1% to 2.25% depending on the investment programs selected and assets under management. An optional performance management fee is available to accredited investors only (request our Form ADV Part II and Form ADV Schedule F for more details).

ARE THE FEES TAX-DEDUCTIBLE?
Section 212 of the Internal Revenue Code permits an itemized deduction for tax and/or investment advice, subject to certain restrictions.

DO WE SELL FINANCIAL PLANNING PRODUCTS SUCH AS INVESTMENTS AND INSURANCE?
Wall & Company provides only financial planning advice on a fee only basis. Certain financial products, however, can be purchased from registered representatives affiliated with Wall & Co. Securities. If these products are purchased by the client, the registered representative might receive the normal commission. Thus, a conflict may exist between the representative's interest and that of the client.

DOES WALL & CO. INVEST IN FINANCIAL PRODUCTS RECOMMENDED TO THEIR CLIENTS?
At times, the principals and affiliated persons of Wall & Co. may invest in products recommended to the client. In any case, Wall & Co. is too small an investor to noticeably affect the market or to benefit significantly from the client's investing.

DOES WALL & CO. SUGGEST BROKERDEALERS TO THEIR CLIENTS?
The principals and associates of Wall & Co. are registered representatives of Wall & Co. securities, a member of NASD/SIPC. If the client chooses to implement advice through principals and associated persons of Wall & Co., the Broker-Dealer is Wall & Co. Securities. However, the client does have the choice to use other Broker-Dealers.

WHAT METHOD OF ANALYSIS DO WE USE TO ANALYZE INVESTMENTS?
We primarily use technical analysis to determine when a client's equity and bond investment should be "in" or "out" of the market, within our Wall & Company Investment management programs. On occasion, we will also use a fundamental approach, looking at such things as economic conditions, earnings, industry outlook, politics (as they relate to the investment), historical data, price earnings ratios, dividends, general level of interest rates, company management and tax benefits. Additionally, Wall & Company may lease market timing signals from outside investment professionals. Our top priority is to harmonize the client's investments with their financial objectives, not ours.

Wall & Co. utilizes the general media of domestic, international and governmental newspapers, bulletins, magazines, books and other publications. Materials prepared by the investment publications and research releases prepared by others are also utilized.
